Qonductor Terms of Service

United States business customers | Version 1.0 | November 6, 2026

These Terms govern access to Qonductor for United States business customers, including free trial and contracted customers. The Service helps teams track and act on commercial obligations using information from connected systems.

1 Agreement and acceptance

1.1 These Terms are between Qonductor, Inc., a Delaware corporation (Qonductor), and the organization accepting them (Customer). The Service includes Qonductor’s hosted application and features made available to Customer. The Agreement consists of these Terms, the applicable Data Processing Agreement (DPA), and any order or other agreement expressly made part of it.

1.2 Before Customer connects its CRM, an authorized Customer representative accepts the Terms of Service and Data Processing Agreement on Customer’s behalf by explicitly agreeing to both in a written reply to Qonductor’s email identifying and linking the applicable versions. The representative confirms authority to bind Customer. Qonductor retains the reply with the organization, representative, acceptance date, and document versions accepted.

1.3 The DPA governs processing of Customer Personal Data and controls any conflict on that subject. An existing or separately signed agreement between the parties controls a conflict concerning the services it expressly covers, subject to the DPA’s precedence for processing covered by that DPA.

2 Access plans and fees

2.1 During the Agreement, Customer may use the Service for its internal business purposes and allow its authorized employees and contractors to do the same. Customer will manage its users’ access, safeguard credentials, promptly notify Qonductor of unauthorized access, and take reasonable steps to ensure its users comply with these Terms.

2.2 Free trials. A trial customer receives evaluation access at no charge for the period and features stated at signup. Trial access ends at expiration unless Qonductor extends it or Customer separately agrees to contracted access. A trial does not automatically become a paid subscription.

2.3 Contracted access. A contracted customer receives access under a separate written order or agreement accepted by both parties, including a paid subscription or a negotiated pilot. That agreement sets the scope, term, fees if any, and any support or service commitments.

2.4 Trial and early access features may change, contain errors, or become unavailable, subject to any commitments in the applicable written agreement.

3 Acceptable use

3.1 Customer will use the Service lawfully and supply only data it has authority to provide. Customer will not introduce malicious code, access another customer’s workspace without authorization, circumvent security or usage controls, disrupt the Service, resell access, or reverse engineer the Service except where applicable law permits that activity despite this restriction.

3.2 Customer will observe the data restrictions in the DPA and provide any notices and obtain any permissions required for its use of the Service, connected systems, and external actions.

4 Customer data and confidentiality

4.1 As between the parties, Customer retains its rights in content and records supplied by or on behalf of Customer, including data from its connected systems (Customer Data). Customer authorizes Qonductor to use Customer Data as reasonably necessary to provide, support, and secure the Service for Customer, subject to the Agreement. The DPA governs the permitted uses of Customer Personal Data, including any separate authorization for optional product improvement or model training.

4.2 Each party will use the other’s nonpublic information disclosed in connection with the Agreement only to exercise its rights and perform its obligations under the Agreement. Each will protect it with reasonable care and restrict access to people or service providers who need it and are subject to appropriate confidentiality obligations. Customer Data is Customer’s confidential information.

4.3 Confidentiality duties do not apply to information the recipient can show became public without breach, was already lawfully known, was lawfully received without a duty of confidentiality, or was independently developed without use of the other party’s confidential information. A party may disclose information as required by law and, where permitted, will give reasonable notice and disclose only what is required. The DPA continues to govern Customer Personal Data.

5 Connected services and authorized actions

5.1 Customer chooses which third-party accounts to connect and what access to grant. Third-party services are governed by their own terms. Their availability, permissions, or behavior may affect the Service. Qonductor remains responsible for its obligations concerning subprocessors under the DPA.

5.2 Qonductor may read connected records within the authorized integration scope. External actions, such as sending a message, booking a meeting, or updating a record, require the relevant permission and an expressly enabled capability. Customer is responsible for managing its integration permissions and deciding which capabilities to enable. Disconnecting an integration ends further authorized collection from that integration. Retained Customer Personal Data is governed by the DPA.

6 AI output and customer oversight

6.1 The Service may generate suggested actions, draft communications, and other output. Output may be incomplete, inaccurate, or similar to output generated for others. Customer will use appropriate human oversight, review consequential output before relying on it, and monitor workflows it authorizes to run automatically.

6.2 As between the parties, Customer may use and share output generated for Customer for its business purposes, subject to applicable law and third-party rights. This permission does not transfer ownership of Qonductor’s underlying software, models, or other technology.

7 Service ownership and feedback

7.1 Qonductor and its licensors retain their rights in the Service and related technology. Customer receives the access and use rights stated in the Agreement.

7.2 Qonductor may use voluntary suggestions about the Service without compensation. This permission excludes Customer Data and Customer’s other confidential information. Any use of Customer Personal Data remains governed by the DPA.

8 Suspension and termination

8.1 Qonductor may suspend affected access as reasonably necessary to address a security threat, unlawful activity, material breach, or legal requirement. Where practicable and permitted, Qonductor will notify Customer and give Customer an opportunity to address the issue.

8.2 Either party may end free trial access by written notice before it expires. The applicable written agreement governs expiration, renewal, and termination of contracted access. When access ends, Customer’s right to use the affected Service ends. Return, deletion, and permitted retention of Customer Personal Data are governed by the DPA.

8.3 Obligations and rights that by their nature apply after termination survive, including confidentiality, ownership, disclaimers, liability limits, dispute provisions, and accrued payment obligations.

9 Disclaimers and liability

9.1 To the maximum extent permitted by law, free trials and early access features, including their output, are provided as is and as available. For those offerings, Qonductor disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. Qonductor does not warrant uninterrupted access or the accuracy of output from those offerings. Express obligations under the Agreement, including the DPA, continue to apply.

9.2 To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Agreement, even if advised they were possible. Each party’s total liability arising from the Agreement is limited to the greater of US$1,000 or the fees paid or payable by Customer for the affected Service in the 12 months before the event giving rise to the claim.

9.3 These limits do not apply to fraud, willful misconduct, gross negligence, Customer’s obligation to pay agreed fees, or liability that applicable law does not allow the parties to limit. A separately signed agreement may provide different liability terms for the services it covers.

10 General provisions

10.1 Delaware law governs the Agreement, excluding conflict-of-laws rules. Subject to applicable law, the parties consent to exclusive jurisdiction in the state and federal courts located in Delaware.

10.2 Send legal notices to pete@qonductor.ai. Qonductor will send notices to the designated Customer contact. Material amendments require agreement, including through a new electronic acceptance where offered. If a provision is unenforceable, the remaining provisions continue in effect.
